Maintainence and Support

The Service is provided "as is". Beauceron specifically disclaims any implied warranties of merchantability and fitness for a particular purpose.  Beauceron does not warrant that use of the Service will be uninterrupted or error free.

Except for fraud, gross negligence or wilful misconduct, in no event shall either your or Beauceron's liability to the other for all claims in the aggregate arising out of the use of this service, of this agreement in contract, tort or under any other theory of law or liability, exceed the lesser of the aggregate of all amounts paid by you to Beauceron or an Authorized Partner or $100,000 CAD.

INtellectual Property

These Terms shall be governed and construed in accordance with the laws of the Province of New Brunswick in the country of Canada, without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

Unless there is an executed Corporate Subscription License Agreement or any other executed agreement in place between us and you, these terms constitute the entire agreement regarding our service. In situations where there is a Corporate Subscription License Agreement or any other executed agreement, those terms will supersede these terms of service.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, intellectual ownership provisions, warranty disclaimers, indemnity and limitations of liability.

Term and Termination

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
